Terms and Conditions – Numiqo

These Terms and Conditions (“Terms”) govern your access to and use of the Numiqo web application and related services (collectively, the “Service”).
By creating an account, purchasing a licence, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

“Numiqo”, “we”, “us”, or “our” refer to Numiqo e.U.
2. Eligibility & User Account
1. You must:
- be at least 18 years old (or the legal age of majority in your jurisdiction), and
- have the legal capacity to enter into a binding contract,
to use the Service.
2. You need to create an account to access the Service. You agree to:
- provide accurate and complete information,
- keep your login credentials confidential, and
- be responsible for all activity under your account.
3. You must notify us immediately if you suspect unauthorized access to your account.
3. Licence Types & Duration
1. Numiqo is provided under time-limited licence plans. When you purchase a licence, you can choose one of the following durations:
- 1-month licence
- 3-month licence
- 1-year licence
- 3-year licence
2. The licence:
- is non-exclusive,
- non-transferable,
- valid for one natural person (one user) only,
- allows unlimited use for that one user during the licence period,
- may not be shared, resold, sublicensed, or used by multiple individuals.
3. Automatic expiry (no cancellation needed)
Your licence ends automatically at the end of the chosen period. There is no automatic
renewal and no cancellation required. If you wish to continue using the Service after
expiry, you must purchase a new licence.
4. Scope of Use
Subject to your compliance with these terms and full payment of applicable fees, we grant you a limited licence to access and use the service for your internal, personal, or business purposes, as applicable.
You must not:
- copy, modify, adapt, translate, or create derivative works based on the service (except where explicitly allowed by us),
- decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the service, except where permitted by mandatory law,
- circumvent or attempt to circumvent any technical protection measures or usage restrictions,
- use the service to provide a competing product or service,
- share your account or licence with others or allow multiple people to use one licence,

use the service for any unlawful, harmful, or abusive purpose, including but not
limited to:
- infringing third-party intellectual property rights,
- transmitting malware, spam, or harmful code,
- violating data protection or privacy laws,
- harassing or threatening others.
5. Pricing, Payment & Taxes
1. All prices are displayed on our website at the time of purchase. We may change prices at any time, but such changes will not affect licences already purchased.
2. Payment is due in advance for the selected licence period. You authorize us or our payment service providers to charge the payment method you provide.
3. Prices may be shown inclusive or exclusive of taxes depending on your location. You are responsible for any applicable taxes, duties, or charges imposed by law (other than taxes based on our income).
4. Your access to the Service is granted only after successful payment.
6. No Automatic Renewal / Cancellations
1. Your licence is prepaid for the chosen duration and does not automatically renew.
2. Because the licence expires automatically at the end of the period:
- you do not need to actively cancel, and
- access will end automatically unless you purchase a new licence.
3. If you want to stop using the Service before the end of the licence period, you can simply stop using it; your account may remain, but your licence will expire on schedule.
7. Right of Withdrawal & Refunds
This section is general information. Your actual rights depend on the laws of your country, especially if you are a consumer in the EU/EEA or other jurisdictions with specific consumer protection laws.
1. Digital content & withdrawal (statutory rights)
When you purchase access to a digital service that starts immediately, some jurisdictions (such as the EU) may allow you to waive your statutory right of withdrawal (cooling-off period). In such cases, we may ask you to expressly consent to:
- immediate access to the Service, and
- losing your statutory right of withdrawal once the service has started.
Nothing in these Terms affects any mandatory statutory withdrawal rights you may have as a consumer.
2. 14-day refund policy (contractual)
In addition to any mandatory statutory rights, Numiqo offers the following voluntary refund policy:
- You may request a refund within 14 days from the date of purchase of the licence.
- To request a refund, you must contact us by email at mathias.jesussek@numiqo.com within this 14-day period and provide the purchase details (for example, email address, date, and licence type).
- If your request is accepted, we will refund the licence fee you paid for the current licence period. Your licence and access to the Service may be terminated immediately once the refund is processed.
- This voluntary refund policy applies in addition to, and does not replace, any statutory rights you may have; where there is a conflict, mandatory law prevails.
3. Non-waivable rights
Nothing in these Terms limits any non-waivable statutory rights you may have under applicable consumer protection laws. Where such laws grant you a right to a refund or withdrawal, we will comply with those obligations.
8. Service Availability, Changes & Updates
1. We aim to keep the Service available and functioning without interruptions, but we do not guarantee 100% uptime. Temporary interruptions may occur due to maintenance, updates, technical issues, or events beyond our control.
2. We may modify, update, or discontinue features of the Service at any time, including:
- technical improvements,
- security updates,
- changes in features or functionality,
- removal of outdated or unused features.
3. If a change materially reduces the core functionality of the Service during your active licence period, you may contact us, and we will work with you in good faith to find a fair solution, in line with applicable law (for example, partial refund or extension, where required).
9. Intellectual Property Rights
1. The Service, including all software, code, design, trademarks, logos, text, graphics, and other content, is owned by Numiqo and is protected by copyright and other intellectual property laws.
2. Except for the limited licence granted in these terms, you are not granted any rights or licences to the underlying intellectual property.
3. You may not remove, alter, or obscure any copyright, trademark, or other proprietary notices on or within the service.
10. User Content
1. You may be able to upload or input content into the Service (“User Content”).
2. You are responsible for:
- ensuring that you have all necessary rights to your User Content, and
- ensuring that your User Content does not infringe any third-party rights or violate applicable law.
4. We may remove or disable access to any User Content that we reasonably believe violates these Terms or the law.
11. Data Protection & Privacy
1. We process personal data in accordance with our Privacy Policy, which forms part of these Terms.

3. You are responsible for complying with your own legal obligations regarding data protection when you use the Service, especially if you use it in a business context or process third-party data.
12. Term and Termination
1. These Terms apply for as long as you use the Service or maintain an account with us.
2. We may suspend or terminate your access to the Service immediately and without prior notice if:
- you materially breach these Terms,
- you use the Service in a way that causes or may cause harm to us, other users, or third parties, or
- we are required to do so by law or by a competent authority.
3. On termination or expiry:
- your licence to use the Service ends,
- we may delete or restrict access to your account and data, subject to our legal data retention obligations.
4. Sections that by their nature should survive termination (for example, intellectual property, disclaimers, limitation of liability, governing law) will continue to apply.
13. Disclaimers
To the maximum extent permitted by law:
1. The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.
2. We do not warrant that:
- the Service will be uninterrupted,
- the Service will be error-free, bug-free, or free from defects, or
- any errors will be corrected.
3. We do not warrant that:
- the Service will meet your requirements or expectations, or
- the Service will be compatible with any particular hardware, software, or configuration.
4. We disclaim all implied warranties, including (where permitted by law) implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
14. Limitation of Liability
To the maximum extent permitted by law:
1. We will not be liable for any:
- indirect, incidental, consequential, special, or punitive damages,
- loss of profits, revenue, data, or business opportunities,
arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Service or these Terms will be limited to the amount you have paid for the Service in the 12 months immediately prior to the event giving rise to the claim.2. Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence,
- fraud or fraudulent misrepresentation, or
- any other liability that cannot be excluded or limited under applicable law.
15. Indemnity
You agree, to the extent permitted by law, to indemnify and hold harmless Numiqo e.U., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your use of the Service,
- your violation of these Terms, or
- your violation of any rights of a third party, including intellectual property or privacy rights.
16. Changes to These Terms
1. We may update or modify these Terms from time to time. When we do, we will publish the updated Terms on our website and update the “Last updated” date at the top.
2. If a change materially affects your rights or obligations, we will provide additional notice (for example, by email or a notice within the Service), where required by law.
3. Continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.
17. Governing Law & Dispute Resolution
1. These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law rules.
2. You and we agree that the courts of Vienna (Wien), Austria, shall have jurisdiction for resolving any disputes, subject to any mandatory consumer protection rules that provide you the right to bring claims in your country of residence (for example, if you are an EU consumer).
18. Miscellaneous
1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
2. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
3. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
4. These Terms, together with the Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and us regarding the Service.
